Financial Product Terms

1. Introduction

1.1. These terms govern your OTC Financial Products issued by RippleCapitals.com.

1.2. If you choose to trade in an OTC Financial Product issued by RippleCapitals.com, the OTC Financial Product will be on the terms in this document, including the terms in the Schedule to this document for the relevant OTC Financial Product.

1.3. The terms of this document, including the relevant Schedule for your OTC Financial Product, form part of the terms of your Account with RippleCapitals.com. In relation to your Account, a reference to “Terms” includes the terms in this document (including the Schedules) which are applicable to you, as amended from time to time.

1.4. If, after opening an Account, you agree with RippleCapitals.com that RippleCapitals.com will provide access to a Financial Product or provide you with a financial service which you did not select in your Application Form, the relevant Schedule for the Financial Product or financial service will apply to your Account when RippleCapitals.com agrees to provide the Financial Product or financial service to you.

1.5. A liability of RippleCapitals.com accrues solely to that entity and is not a joint liability of any other related party of RippleCapitals.com nor is any RippleCapitals.com entity the agent, fiduciary, joint venturer or guarantor of any other RippleCapitals.com related party.

1.6. These terms will apply to you in respect of your Account from the earlier of (a) the time RippleCapitals.com accepts your application in the Application Form in respect of a particular Financial Product or financial service; (b) the time RippleCapitals.com otherwise agrees to provide the Financial Product or financial service to you; or (c) the time you first place an Order in respect of a Financial Product with RippleCapitals.com or otherwise instruct RippleCapitals.com to provide the financial service to you.

1.7. You acknowledge and agree that you have read and understood all documentation provided to you by us including these terms and any product disclosure statement (PDS) in relation to any Financial Products which you request RippleCapitals.com to make available to you in relation to your Account.

1.8. You acknowledge that we will not provide legal, tax, financial or accounting advice to you as part of the services that we provide. RippleCapitals.com does not act in a fiduciary capacity and does not owe any fiduciary obligations to you except as expressly stated in these terms.

1.9. You acknowledge that RippleCapitals.com does not provide personal financial advice merely by assessing your suitability to deal in OTC Financial Products or issuing OTC Financial Products to you. These Terms do not constitute personal financial advice, nor a recommendation or opinion that a particular Financial Product or service is appropriate for you.

1.10. RippleCapitals.com has discretions under these terms which can affect your Transactions. You do not have any power to direct how we exercise our discretions. When exercising our discretions we will comply with applicable legal obligations. We may consider risk management, market conditions, counterparties, and other factors and are not required to act in your best interests or avoid losses in your Account.

2. Interpretation

2.1. Unless otherwise defined, terms have the meaning given in Applicable Laws relevant to the Financial Product or service.

2.2. Definitions include (but are not limited to):

• Account: An account held with RippleCapitals.com including all Trading Accounts and Transactions.

• Applicable Laws: All relevant laws, regulations, and rules governing Financial Products.

• Application Form: Application to open an Account.

• Authorised Person: Your authorised agent.

• Client Moneys Trust Account: Account holding client funds.

• Close Out: Settlement or termination of a Transaction.

• Derivatives: Financial derivatives under Applicable Law.

• Financial Product: Any derivative, CFD, or foreign exchange contract.

• Margin: Collateral required to maintain positions.

• OTC Financial Product: Over-the-counter derivative contract.

• Transaction: Any CFD or financial contract entered with RippleCapitals.com.

• Underlying Security: Asset or index underlying a CFD.

3. Account

3.1. RippleCapitals.com will establish one or more Accounts for clients. Each Account may include multiple Trading Accounts.

3.2. Risk, margin, and reporting may be managed per sub-account and may be aggregated at RippleCapitals.com’s discretion.

3.3. RippleCapitals.com may set off balances between Accounts or sub-accounts without notice.

3.4. Overall balances may reflect aggregation or set-off.

3.5. Accounts are denominated in AUD unless otherwise agreed.

3.6. Margin must be maintained in the relevant currency.

3.7. RippleCapitals.com may allow cross-currency margin offsets at its discretion.

3.8. Joint accounts are treated as joint tenants unless otherwise agreed in writing.
